Terms of Service and settlement terms
Last updated 4 November 2026. Every clause is numbered so you can point at it later. The merchant agreement you sign with the acquiring partner is a separate document and it prevails where the two overlap.

The six things that actually determine when you get paid.
Clauses T-01 to T-06 sit above the general terms because they are the ones merchants ask about after the fact.
T-01 — The test comes first.
Underwriting takes three to five business days. Your first transactions run on a separate MID capped at 500 USD, with the settlement result inside 24 hours. Nothing large rides on a configuration nobody has tested.
T-02 — The ramp is deliberate.
After the test clears: three days at 500 USD daily, seven days at 2,000 USD daily, then your formal tier. A file that behaves under a small limit is worth more than any application.
T-03 — Reconciliation is daily, not monthly.
Every midnight UTC you get the prior day as a file: time, amount, first six and last four of the card, status, response code. Monthly statements hide problems for thirty days. Daily files don't.
T-04 — Settlement pace is your tier, not our mood.
T+3 at entry, T+2, T+1, and same-day at the top. Holidays roll forward and a roll-forward is not a default on our side.
T-05 — Reserve is defined before you sign.
Withheld by tier, released at term end once chargebacks are settled. If chargebacks exceed the reserve, the shortfall is yours — that's what a reserve is for.
T-06 — Chargeback responsibility splits on cause.
Merchant-side files and merchant-side operations are the merchant's. Channel-side configuration errors are ours. The daily file is the evidence in both directions, which is why it exists.
T-07 — Who we are.
Hollis Payments LLC ("Hollis Payments", "we", "us") is an independent sales organization that introduces merchant accounts to acquiring partners ("Acquirer"). We are not a bank, a payment processor, or a money transmitter. We do not hold, custody, or transmit funds at any point in a transaction.
T-08 — Scope of service.
Our service consists of (a) assessing whether a merchant application is likely to be approved by an Acquirer, (b) preparing and submitting the application, (c) configuring the gateway against the terminal you own, and (d) acting as the merchant's point of contact through onboarding and afterwards. All card processing is performed under a separate merchant agreement between you and the Acquirer.
T-09 — No guarantee of approval.
Any indication of share, reserve, or likelihood of approval given before review is an estimate only. Approval, share, per-transaction fees, rolling reserve and settlement terms are determined solely by the Acquirer. We do not guarantee approval and we do not guarantee any specific rate.
T-10 — Your obligations.
- Provide accurate information about your business, ownership, products and expected volume.
- Maintain a working website describing your goods or services, with terms, privacy, refund and delivery policies published.
- Enter card data only through the terminal or gateway. Never send a full card number or CVV to us by message, and we will not accept one.
- Comply with the Acquirer's merchant agreement and the card network rules applicable to your transactions.
- Do not submit transactions on behalf of a third party, and do not process transactions for goods or services you do not sell.
- Notify us and the Acquirer of any material change in business model, volume or product mix.
T-11 — Fees.
We are compensated by the Acquirer out of the merchant discount. We do not charge merchants an application fee, and we do not sell hardware. Any third-party costs (entity formation, gateway setup, terminal hardware) are paid by you directly to the relevant provider.
T-12 — Terminal configuration.
Where your hardware supports keyed entry, we configure it against your MID: keyed entry enabled, card and address verification disabled for card-not-present volume, billing descriptor set to your DBA, duplicate window at 120 seconds, partial approval and tip adjust off. The parameter sheet is issued to you at configuration and you keep a copy.
T-13 — Data we hold.
First six and last four digits of the card, plus amounts, dates and response codes. No full card number and no CVV, at any point, in any system we operate.
T-14 — Velocity limits and risk triggers.
Velocity is issued against your tier. It is reduced — not increased — by three triggers: chargeback rate above 1.5%, concentration above 30% in a single issuing bank, or daily decline rate above 25%. Crossing any one reduces velocity first; forty-eight hours without improvement suspends the channel. Your share does not move as a result of a velocity reduction.
T-15 — Tiers and movement.
Entry is L1. Movement upward is earned: fourteen clean days for L2, thirty days above 150,000 USD for L3, a quarterly review for L4. Tiers do not move down on their own; only the triggers in T-14 reduce velocity.
T-16 — Termination.
Either party may end this relationship on seven days' written notice. Termination does not affect your merchant agreement with the Acquirer, which continues under its own terms, and any unsettled amounts settle at your current tier. Termination of this relationship does not by itself close the merchant account.
T-17 — Limitation of liability.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to this agreement is limited to the amount of compensation we received from the Acquirer in connection with your account during the three months preceding the claim. We are not liable for the Acquirer's decisions, processing interruptions, holds, or reserves.
T-18 — Governing law.
This agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Venue lies in the state or federal courts located in Sheridan County, Wyoming.

T-20 — Upstream disclosure.
We do not disclose our upstream channel partner or the identity of the Acquirer's own sponsors beyond what appears on your merchant agreement. That is standard in this industry and it is a condition of the pricing we can offer.
T-21 — Entire agreement and changes.
These terms, together with your merchant agreement, are the whole agreement between us on this subject. Changes take effect when published on this page with a new effective date, and no change applies retroactively to a signed merchant agreement.
