1. Who we are
Hollis Payments LLC ("Hollis Payments", "we", "us") is an independent sales organization that introduces merchant accounts to sponsoring acquiring banks and processors ("Acquirer"). We are not a bank, a payment processor, or a money transmitter. We do not hold, custody, or transmit funds at any point in a transaction.
2. Scope of service
Our service consists of (a) assessing whether a merchant application is likely to be approved by an Acquirer, (b) preparing and submitting the application, and (c) acting as the merchant's point of contact for the Acquirer during onboarding and afterwards. All card processing is performed under a separate merchant agreement between you and the Acquirer.
3. No guarantee of approval
Any indication of pricing, reserve, or likelihood of approval given before underwriting is an estimate only. Approval, discount rate, per-transaction fees, rolling reserve and settlement terms are determined solely by the Acquirer. We do not guarantee approval and we do not guarantee any specific rate.
4. Your obligations
- Provide accurate information about your business, ownership, products and expected volume.
- Maintain a working website describing your goods or services, with terms, privacy, refund and delivery policies published.
- Comply with the Acquirer's merchant agreement and the card network rules applicable to your transactions.
- Do not submit transactions on behalf of a third party, and do not process transactions for goods or services you do not sell.
- Notify us and the Acquirer of any material change in business model, volume or product mix.
5. Fees
We are compensated by the Acquirer out of the merchant discount. We do not charge merchants an application fee. Any third-party costs (entity formation, gateway setup, terminal hardware) are paid by you directly to the relevant provider.
6. Termination
Either party may end this relationship at any time by written notice. Termination does not affect your merchant agreement with the Acquirer, which continues under its own terms.
7. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to this agreement is limited to the amount of compensation we received from the Acquirer in connection with your account during the three months preceding the claim. We are not liable for the Acquirer's decisions, processing interruptions, holds, or reserves.
8. Governing law
This agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Venue lies in the state or federal courts located in Sheridan County, Wyoming.
